Annual Report 2025

Our Commitment

To pursue a sustainable long-term growth model, we integrate ethical, social and environmental aspects into our corporate strategy.

We have defined a Group Sustainability Plan setting out our commitment and qualitative and quantitative targets for five key areas: patient care, people care, environmental protection, responsible sourcing, ethics and integrity.

Our Sustainability Plan

The Sustainability Plan is the tool used to share the Group’s future trajectory with its stakeholders: it represents an expression of the ambitions of the Recordati group and the commitments it wishes to prioritise in order to promote sustainable and responsible growth.

Climate Change

We are committed to reducing our greenhouse gas emissions. Doing so, we are contributing to the fight against climate change and promoting a more sustainable future for future generations.

We have embarked on a solid path towards decarbonisation, with the aim of progressively reducing our environmental impact and integrating more sustainable solutions into our processes.
The main strategies to achieve this goal include the use of renewable energy, both through direct production with solar panels, and through the purchase of certified renewable electricity, the adoption of other energy efficiency initiatives.

CO₂ EMISSION TARGETS

We aim to reduce Scope 1 and Scope 2 market-based CO2eq emissions by 20% by 2030, using 2022 as a baseline.

In 2025, total emissions (Scope 1 and Scope 2 market-based) decreased by approximately 5% compared to 2022 (base year)*.

ISO CERTIFICATION ROADMAP

We continued the certification process of our Group plants according to ISO 14001, and ISO 50001.

In January 2026, the plant in Ireland achieved ISO 14001 certification and the plant in Tunisia achieved ISO 50001.

100% RENEWABLE ENERGY

100% of the electricity purchased by the Group’s plants comes from renewable sources, in countries where this is possible*, and we remain committed to this action.

*This figure excludes Tunisia, where renewable energy is not available. Including Tunisian consumption in fiscal year 2025, electricity from renewables purchased at the Group’s production plants is approximately 91%.

INSTALLATION OF SOLAR PANELS

We completed the installation of solar panels in Tunisia and Italy—starting with the first wave at Campoverde—and the expansion of the system in Spain, reaching a total installed power of approximately 6,200 kWp (together with the systems already in operation in Spain and in Ireland). The target is to reach total installed power of 11,000 kWp by 2026.

Pollution

We formalised our Group Environment, Health and Safety Policy, which covers the following material topics: health and safety, climate change, pollution, the circular economy, waste management and water management

Protecting the environment is vital for people’s well-being, because the health of the planet and human health are bound tightly together. Because the air, water, soil and climate all directly affect people’s quality of life, taking care of health also means acting responsibly to protect the environment and future generations. To this end, the Group is committed to conducting its business in a socially responsible manner and in accordance with sustainable practices, national and international laws, and the expectations of its stakeholders.

iMERMAID: Innovative Solutions for the Removal of Pharmaceutical Contaminants

The Tunisian subsidiary Opalia Recordati continued to take part in the iMERMAID Project: an EU-funded project focused on protecting the Mediterranean Sea and its surroundings, which play a crucial role in various socioeconomic activities.

It aims to address the growing threats of CoECs (Contaminants of Emerging Concern) which have not yet been studied and may pose a potential threat to ecosystems and humans.

Specifically, Opalia Recordati demonstrated the efficacy of the system in offsetting the chemical pollution. This analysis was conducted using a series of electrochemical sensors, designed to monitor the degradation of three representative molecules (Diclofenac, Ibuprofen and Ketoprofen), commonly present at high frequency and concentration in effluents treated across Europe. Thanks to the repeated tests conducted to allow for ongoing project refinements, significant results were observed, including a considerable degradation of CoECs from industrial effluents and efficient measurements of the CoECs selected in real wastewater. These successes now represent a fundamental stage in the transition of advanced water treatment technologies from laboratory development to real industrial conditions.

Circular Economy

We are committed to reducing the production of waste linked to manufacturing activities, with a particular focus on correctly disposing of hazardous substances. We use materials that can be recycled or disposed of in accordance with the applicable laws and optimise the use of raw materials and select materials that can be recycled in compliance with the applicable regulations. At the same time, in line with the rigorous legislation that governs the pharmaceutical sector, Recordati undertakes to adopt a circular approach focused on recovery and reuse where possible.

Raw Materials Reuse at Campoverde Plant

The Campoverde di Aprilia plant conducted analysis of various initiatives to recover and reuse chemical raw materials employed in production processes, such as benzaldehyde and palladium. In particular, in 2025 approximately 28% of the benzaldehyde used in production processes was derived from recovery. Meanwhile, a total of 10.2 kg of palladium was recovered from production processes in 2025 thanks to a partnership with third-party companies (compared to 12.6 kg in 2024). Dimethyl carbonate has also been recovered for several years (28 tonnes recovered in 2025).

Our Career & Culture Initiatives

When you join Recordati, you become part of a global community, where everyone is welcome to speak up, share their unique insights and perspectives, and play a role in driving our growth.

Responsible Sourcing

We recognise the fundamental value of our supply chain in creating safe and high-quality products. That’s why we’re committed to working with suppliers and strategic partners who share our ethical principles.

We build relationships based on transparency and trust, promoting respect for ethical, environmental and social aspects along the entire value chain.

In 2025, the Group formalised its first Supplier Code of Conduct. The document outlines the key principles that underpin our activities and that our suppliers are also expected to follow: ethical business conduct, working practices that protect human rights, worker health and safety, respect for the environment, and the guarantee of the highest standards on quality and research and development.

82

A total of 82 desk audits on ESG matters were carried out in 2025: 68 new suppliers were verified and 14 follow-up audits took place.

The suppliers audited belong to the main and most strategic product categories: suppliers of finished products, raw materials, packaging, industrial services, logistics, and other services. 98% of suppliers involved in the 2025 audit achieved an overall positive rating taking into consideration the four key areas for sustainability: Environment, Labour and Human Rights, Ethics, and Sustainable Procurement. More specifically, 5% of suppliers received an overall rating of ‘Outstanding’, 40% were assessed as ‘Advanced’, and 53% as ‘Good’. Only 2% of suppliers received a “partial” performance rating and, as in 2024, no suppliers were found to be insufficient or critical in 2025.

Patient Partnership

At Recordati, patients remain at the heart of everything we do. Every day the Group focuses on Unlocking the full potential of life for people living with common diseases, as well as those living with rare diseases.

Support for Local Communities

We believe that contributing to the well-being of society and allocating of part of our resources to acts of solidarity are an integral part of our operating approach.

Corporate Culture and Policies

We are committed to conducting our business ethically, transparently and honestly in all the countries where we operate, respecting the applicable laws, professional codes of conduct, the Code of Ethics, the Anti-Bribery Manual and the Organisational, Management and Control Models, as well as internal procedures.

Compliance Programme

Our Group Compliance Programme is structured as a set of internal codes of conduct, documents, policies and procedures, such as organisational, management and control models where required by local legislation, the Code of Ethics and the Anti-Bribery Model which establish the responsibilities, principles and practices to be adopted in the performance of activities. This programme applies to all Group companies and employees and, to the extent of their responsibilities, other stakeholders, such as collaborators and suppliers.

Code of Ethics

The Group Code of Ethics sets our shared standards for ethical, sustainable business conduct. It establishes the fundamental principles that guide and support us in our operations and relationships with stakeholders, both internal and external.

Anti-Bribery Model

Integrity and ethics guide our global operations. We have zero tolerance for all forms of corruption in all the countries in which we operate. To this end, we have implemented a Group Anti-Bribery Programme, which includes a dedicated Anti-Bribery Manual, training, audit and monitoring activities.

Reporting Channels

The Code of Ethics and all Group policies define how to report violations (whistleblowing) and provide information on how these reports are managed. The whistleblowing channels can be accessed and used by all of the Group’s stakeholders, whether internal or external.

Reports may concern violations of the Code of Ethics, the Anti-Bribery Manual, company policies or applicable laws, corruption or bribery, harassment, bullying, mobbing, etc.

Personal Data Management

We are conscious of the importance of managing all aspects related to privacy and confidentiality, as any potential loss of sensitive information or personal data linked to stakeholders (employees, suppliers and workers in the supply chain, patients and other third parties) could have negative impacts on stakeholders and pose a compliance risk.

In line with regulatory requirements on the management of privacy and personal data protection, the Group has had a privacy organisational model for some time and operates in compliance with European General Data Protection Regulation no. 679/2016 (“GDPR”).
